The Head of Legal is responsible for leading and developing the Bank’s legal function, ensuring that all legal, and contractual activities are executed to the highest standard. The role provides strategic legal advice, manages legal risk, and ensures the Bank operates within the applicable legal frameworks. 

Primary Responsibilities:

  • Oversee all legal matters of the Bank, providing legal guidance to senior management and the Board.  
  • Draft, review, and negotiate commercial contracts, agreements, and legal documentation  
  • Monitor legal developments and assess their implications for the Bank’s operations.  
  • Identify legal risks and propose practical, business oriented solutions to mitigate them.  
  • Manage and coordinate external counsel to support the Bank’s legal requirements. 
  • Ensure proper maintenance of legal records, correspondence, agreements, and reports.  
  • Participate in management committees and provide legal input to support strategic decision making. 
  • Lead, manage, and mentor the Legal team, ensuring alignment with the Bank’s objectives.  
  • Build effective cross functional relationships with Compliance, Risk, AML/FCC, and other control functions to ensure coordinated governance and alignment on legal matters. 
  • Provide timely and accurate reporting to the CEO and Board on legal, and data protection issues. 
  • Provide legal interpretation and guidance to these teams where required by regulations, policies, or supervisory expectations.  
  • Support governance matters shared among functions, such as Board documentation, legal review of frameworks, and regulatory interactions. 
  • Support engagement with MFSA, ECB, FIAU, and other relevant regulators on legal matters.

Requirements
  • Strong understanding of banking-related legal frameworks

  • Excellent analytical, research, and problemsolving skills

  • Ability to communicate effectively with senior stakeholders and influence decision-making

  • High ethical standards, integrity, and sound judgment

  • Proven ability to manage complex projects simultaneously

  • Strong leadership skills with the ability to grow and motivate teams

Education and Experience
  • Doctor of Laws (LL.D.) and warranted Lawyer in Malta

  • Minimum 5 years of experience in legal roles, including at least 3 years in a senior leadership capacity

  • Experience in drafting, reviewing, and negotiating a wide range of legal documents

  • Proven experience interacting with regulators and/or authorities
